3. Services Description

3.1 Marketing Consulting Services

Spectrum Credit provides professional marketing consulting services including but not limited to:

  • Brand strategy development and positioning
  • Digital marketing strategy and implementation
  • Market research and consumer insights
  • Lead generation systems and processes
  • Marketing performance analysis and optimization
  • Business development and growth strategies

3.2 Service Delivery

Services are delivered through various means including in-person consultations, virtual meetings, written reports, strategic documentation, and ongoing advisory support as agreed in individual service agreements.

4. Service Agreements and Scope

4.1 Individual Service Agreements

Specific services will be governed by individual service agreements ("Service Agreements") that will include:

  • Detailed scope of work and deliverables
  • Project timelines and milestones
  • Fee structure and payment terms
  • Specific terms and conditions for the engagement

4.2 Modifications to Scope

Any changes to the agreed scope of work must be documented in writing and agreed to by both parties. Additional work may result in additional fees as outlined in the change order process.

5. Client Responsibilities

5.1 Information and Access

Clients are responsible for:

  • Providing timely, accurate, and complete information
  • Granting reasonable access to relevant personnel and systems
  • Responding to requests for feedback and approvals within agreed timeframes
  • Ensuring internal stakeholder alignment and decision-making authority

5.2 Implementation

While we provide strategic guidance and recommendations, the implementation of our recommendations remains the client's responsibility unless specifically included in the service agreement.

6. Payment Terms

6.1 Fees and Billing

  • Fees are as specified in individual service agreements
  • Invoices are typically issued monthly or upon completion of milestones
  • Payment terms are net 30 days unless otherwise specified
  • Late payments may incur interest charges at the rate of 1.5% per month

6.2 Expenses

Reasonable expenses incurred in the delivery of services (travel, accommodation, third-party tools) will be charged to the client unless otherwise agreed.

7. Intellectual Property

7.1 Our Intellectual Property

Spectrum Credit retains ownership of:

  • Proprietary methodologies, frameworks, and processes
  • Pre-existing intellectual property and know-how
  • General knowledge and expertise gained during engagements

7.2 Client Intellectual Property

Clients retain ownership of their pre-existing intellectual property and any modifications thereof created during our engagement.

7.3 Work Product

Deliverables created specifically for the client (reports, strategies, custom frameworks) become the property of the client upon full payment, subject to our retained rights in methodologies and general knowledge.

8. Confidentiality

8.1 Mutual Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information shared during the engagement, including but not limited to:

  • Business strategies and plans
  • Financial information
  • Customer data and insights
  • Proprietary methodologies

8.2 Exceptions

Confidentiality obligations do not apply to information that is:

  • Already in the public domain
  • Independently developed without use of confidential information
  • Required to be disclosed by law or regulation
  • Approved for disclosure in writing by the disclosing party

9. Limitation of Liability

9.1 Service Basis

Our services are provided on an advisory basis. We provide recommendations based on our professional expertise, but we cannot guarantee specific business outcomes or results.

9.2 Liability Limits

To the fullest extent permitted by law, our total liability to any client shall not exceed the total fees paid by the client for the specific engagement in question, regardless of the theory of liability.

9.3 Excluded Damages

We shall not be liable for indirect, consequential, special, or punitive damages, including but not limited to lost profits, business interruption, or loss of business opportunity.

10. Warranties and Disclaimers

10.1 Professional Standards

We warrant that our services will be performed in accordance with generally accepted professional standards in the marketing consulting industry.

10.2 Disclaimers

Except as expressly stated, we make no warranties, express or implied, including warranties of merchantability or fitness for a particular purpose. Market conditions, competitive responses, and other factors beyond our control may affect outcomes.

11. Termination

11.1 Termination for Convenience

Either party may terminate an engagement with 30 days written notice. The client will be responsible for payment of all services performed and expenses incurred through the termination date.

11.2 Termination for Cause

Either party may terminate immediately for material breach, insolvency, or failure to pay undisputed invoices within 60 days of due date.

11.3 Effect of Termination

Upon termination, confidentiality obligations continue, and both parties will return or destroy confidential information as requested.

12. Website Terms

12.1 Acceptable Use

When using our website, you agree not to:

  • Violate any applicable laws or regulations
  • Interfere with or disrupt the website's functionality
  • Attempt to gain unauthorized access to our systems
  • Use the website for any commercial purpose without permission

12.2 Content

Our website content is protected by copyright and other intellectual property rights. You may view and print content for personal use but may not reproduce or distribute it without permission.

13. Indemnification

Client agrees to indemnify and hold harmless Spectrum Credit from claims arising from:

  • Client's implementation of our recommendations
  • Client's breach of these Terms or any service agreement
  • Client's violation of third-party rights
  • Client's negligent or wrongful acts

14. Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including natural disasters, government actions, labor disputes, or other force majeure events.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Dispute Resolution

16.1 Negotiation

Parties agree to first attempt to resolve disputes through good faith negotiation.

16.2 Mediation

If negotiation fails, disputes may be submitted to mediation before pursuing litigation.

16.3 Litigation

As a last resort, disputes may be resolved through litigation in the appropriate courts of England and Wales.

17. Modifications

We may modify these Terms periodically. Continued use of our services after notification of changes constitutes acceptance of the modified Terms. Material changes will be communicated with reasonable notice.

18. Severability

If any provision of these Terms is found to be unenforceable, the remainder of the Terms shall remain in full force and effect.

19. Entire Agreement

These Terms, together with any applicable service agreements and our Privacy Policy, constitute the entire agreement between the parties regarding the subject matter herein.
